  1. INTRODUCTION

Welcome to Potoos Technologies LLP (“Potoos”, “Platform”, “we”, “us”, “our”), registered under the Limited Liability Partnership Act, 2008.

Potoos operates a specialized financial technology infrastructure platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

  1. TWO-TIER ARCHITECTURE AND NATURE OF SERVICES

Potoos operates strictly as a technology infrastructure vendor and an execution management system. To maintain strict regulatory compliance under SEBI guidelines, the services are bifurcated into two mutually exclusive tiers:

  • A. Tier 1: Pure Content Aggregation and Distribution (“Tier 1 Service”)
    Potoos acts as a regulated media aggregator and display conduit. This tier allows users to access un-edited, static research reports, stock choices, and market insights prepared independently by third-party, SEBI-registered Research Analysts (RAs).
  • B. Tier 2: Individual Trading Infrastructure (“Tier 2 Service”)
    Potoos provides localized technology support consisting of isolated cloud environments (dedicated virtual servers/droplets) and unique static IP addresses allocated to individual users. This framework allows users to host and stabilize their personal API connections to their respective stockbrokers.

Potoos does not provide investment advice, portfolio management services, investment recommendations, or securities research.

  1. RESEARCH ANALYSTS AND TIER 1 DISTRIBUTION COMPLIANCE

Where the Platform provides access to research reports and recommendations issued by independent SEBI-registered Research Analysts (“RAs”), the User expressly acknowledges that:

  • All research reports are prepared solely by the respective independent RA under their unique SEBI registration number.
  • Potoos does not create, approve, modify, edit, review, validate, endorse, or influence the target prices, stop-losses, or rationales contained in the research recommendations.
  • The redistribution of reports in Tier 1 is display-only. The identity, SEBI registration details, and mandatory legal disclosures of the issuing RA are permanently displayed alongside the content.
  • Subscription fees collected for Tier 1 access are processed transparently and billed separately from execution infrastructure fees.
  1. MANDATORY HUMAN INTERVENTION AND EXECUTION RULES

To prevent the unauthorized pooling of funds or algorithmic auto-trading, the Platform strictly enforces an “Execution-Only / Click-to-Trade” workflow:

  • No Automated Parsing: The Tier 2 cloud droplet infrastructure is technically segregated from the Tier 1 research database. The publication of a research report cannot automatically trigger, execute, or route an order to a broker API.
  • Manual User Authorization: Every single trade order routing must be initiated by an intentional, real-time manual click or confirmation by the human user. The user independently determines whether to act upon a recommendation, selects the trading volume, and authorizes the payload.
  • Mandatory Daily 2FA Token Freshness: In compliance with exchange mandates, users must manually log in and refresh their stockbroker Two-Factor Authentication (2FA) tokens daily. Potoos droplets will not override, bypass, or auto-renew stale or expired broker sessions.
  1. INDIVIDUAL TRADING ENVIRONMENTS (TIER 2 ISOLATION)

When a user subscribes to Tier 2 services, Potoos deploys and maintains an isolated virtual cloud environment (droplet) with a dedicated static IP address assigned exclusively to that user.

  • User Control: The hosted droplet, trading scripts, broker API credentials, funds, and margin accounts remain under the absolute, exclusive control of the individual user.
  • No Custody or Pooling: Potoos does not have custody of client funds or securities, does not operate pooled investment accounts, and does not have access to alter or withdraw assets from the user’s connected brokerage account.
  • IP Whitelisting: The dedicated static IP provided is intended solely to allow the user to whitelist their execution droplet in their respective broker’s developer console to ensure connection stability.
  1. NO INVESTMENT ADVICE OR PERFORMANCE GUARANTEES

Potoos is not a SEBI-registered Research Analyst, Investment Adviser, Portfolio Manager, Stock Broker, or financial intermediary. Nothing available on the Platform shall be construed as a solicitation, recommendation, or assurance of market returns.

Potoos makes no warranties regarding the profitability, accuracy, or suitability of any third-party research report or execution workflow. All trading and investing involve a substantial risk of capital loss.

  1. LIMITATION OF LIABILITY & TECHNICAL DISCLAIMER

To the maximum extent permitted by law, Potoos shall hold zero liability for:

  • Trading or Market Losses: Any financial loss resulting directly or indirectly from acting upon a Tier 1 third-party research report.
  • Droplet and Infrastructure Latency: Any execution slippage, delayed order routing, system timeouts, connectivity dropouts, or static IP routing errors occurring within the user’s hosted droplet instance.
  • Broker API Failures: Unexpected outages, API structural changes, or token invalidations caused by external stockbrokers or exchanges.
  1. USER RESPONSIBILITIES

Users are solely responsible for:

  • Independently evaluating and verifying the suitability of all research reports before hitting execute.
  • Maintaining the strict security and confidentiality of their cloud droplet logins and broker API keys.
  • Ensuring their personal automated script configurations do not violate stock exchange rules or order-per-second thresholds.
  1. INTELLECTUAL PROPERTY

Research reports remain the exclusive intellectual property of the respective originating SEBI-registered Research Analyst. The Platform interfaces, execution logic modules, hosting architecture designs, and software code remain the exclusive intellectual property of Potoos Technologies LLP.

10. User Eligibility and Registration 

By creating an account on Potoos, you represent and warrant that you are at least eighteen (18) years of age and legally competent to enter into binding contracts under Indian law. You agree to provide true, accurate, and current profile data, including valid email IDs and contact numbers. Potoos reserves the right to suspend accounts providing false or misleading identity details.

11. Prohibition of Commercial Exploitation: All research insights accessed via the Tier 1 subscription are for your personal, non-commercial use only. You are strictly prohibited from using automated web scrapers, bots, or manual extraction frameworks to copy, aggregate, or redistribute the research content on third-party channels (including WhatsApp, Telegram, or social media). Violations will result in immediate account termination and legal action for intellectual property theft.

12. Third-Party Indemnity 

The user agrees to indemnify, defend, and hold harmless Potoos Technologies LLP, its designated partners, and its onboarded independent Research Analysts from any third-party claims, legal expenses, or regulatory investigations arising from your misuse of the platform, violation of broker API terms, or breach of these Terms and Conditions.

13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. The courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction over any legal disputes arising out of or in connection with the use of the Potoos Platform.
